1. Introduction
Welcome to EsterRx ("the Platform"), operated by Glaxier AUNZ Pty Ltd (ABN: 93 652 028 745) trading as EsterRx ("we", "us", "Operator").
The Platform is a clinical workflow management tool. These Terms & Conditions ("Terms") govern your access to and use of the Platform. By creating an account or accessing the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
The Platform is available at esterrx.com.
2. Definitions
- Platform means the EsterRx application and all associated services accessible at esterrx.com.
- User means any person who creates an account on the Platform.
- Patient means a person who submits information via a public link on the Platform. Patients do not create accounts.
- Clinic means a healthcare clinic created and managed on the Platform.
- Services means all features, functionality, and content made available through the Platform.
- Operator means Glaxier AUNZ Pty Ltd (ABN: 93 652 028 745) trading as EsterRx.
- Subscription means a paid plan that grants access to certain Platform features.
3. Eligibility and Registration
3.1 Eligibility
You must be at least 18 years of age to create an account. By registering, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.
3.2 Account creation
To access most features, you must register and provide accurate, complete, and current information. You agree to keep your details up to date.
3.3 Account security
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@esterrx.com if you suspect unauthorised access. We are not liable for any loss arising from unauthorised use of your account.
3.4 Verification
Access to certain features may require verification by the Platform's administrator. Verification is an administrative access control only — it does not constitute an endorsement, certification, or ongoing audit of your professional registration, qualifications, or fitness to practise. You remain solely responsible for maintaining valid professional registration at all times (see Section 8).
We reserve the right to decline or revoke verification at our discretion.
4. User Roles and Responsibilities
The Platform supports multiple user roles with varying levels of access. Your specific permissions are determined by the role(s) assigned to you. Regardless of your role, all Users must:
- Use the Platform only for lawful purposes and in accordance with these Terms;
- Not impersonate any person or misrepresent their professional credentials;
- Hold and maintain any professional registration, licence, or authorisation required by applicable law for the activities they perform through the Platform;
- Ensure that all clinical activities conducted through the Platform are appropriate and within their scope of practice;
- Understand that applying an e-signature to any document on the Platform is legally meaningful and represents their professional review and authorisation;
- Maintain the confidentiality of all patient and clinic information;
- Comply with all applicable laws, including those governing healthcare, medication prescribing, and data privacy; and
- Not attempt to gain unauthorised access to other accounts, systems, or data.
Account holders who subscribe on behalf of a clinic are responsible for ensuring that all members within their clinic understand and comply with these Terms.
Patients access the Platform solely to submit information via a public link. Patients do not create accounts. By submitting information, patients consent to the collection and use of their data as described in our Privacy Policy.
5. Acceptable Use
Your use of the Platform is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference.
6. Subscription and Payment
Certain features of the Platform require a paid Subscription. Fees, billing frequency, and any usage-based charges will be communicated to you at the time of subscription and may be updated from time to time with reasonable notice.
Payments are processed by a third-party payment processor. We do not directly store your payment card details. By subscribing, you agree to the payment processor's applicable terms.
You may cancel your Subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period unless required by the Australian Consumer Law.
If your Subscription lapses, your access to paid features may be suspended until your Subscription is renewed.
We do not generally offer refunds except where required by the Australian Consumer Law or other applicable law. If you believe you are entitled to a refund, contact us at support@esterrx.com.
7. Intellectual Property
The Platform, including all software, design, content, trademarks, and materials, is owned by or licensed to the Operator. Nothing in these Terms transfers any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for the purposes set out in these Terms.
You retain ownership of content you upload to the Platform. By uploading content, you grant us a limited licence to store, process, and display that content solely to provide the Services. You represent that you have the right to upload and share any content you provide.
If you provide us with feedback or suggestions about the Platform, you grant us the right to use that feedback without restriction and without compensation to you.
8. Medical Disclaimer and Professional Responsibility
8.1 Workflow tool — not medical advice
The Platform is a workflow management tool. It does not provide medical advice, clinical diagnoses, or treatment recommendations. All clinical decisions are the sole professional responsibility of the licensed healthcare practitioners using the Platform.
8.2 Not a registered e-prescribing system
The Platform is not a conformant electronic prescribing system under the Australian Digital Health Agency's Electronic Prescribing Conformance Register or the National Health (Pharmaceutical Benefits) Regulations 2017. Documents generated through the Platform are internal clinical workflow documents and are not legally valid prescriptions for PBS pharmacy dispensing.
8.3 Professional responsibility
The Operator does not verify, monitor, or take responsibility for the ongoing validity of any User's professional registration, qualifications, licences, or fitness to practise. Each User who performs clinical functions on the Platform is solely responsible for maintaining their registration, practising within their scope, complying with all applicable laws and professional standards, and maintaining their own professional indemnity insurance as required.
The Operator is not a healthcare provider and does not supervise, direct, or endorse any clinical activity conducted through the Platform.
8.4 No liability for clinical outcomes
To the fullest extent permitted by law, the Operator accepts no liability for any medical outcomes, adverse events, clinical errors, or harm arising from the use of the Platform. All clinical responsibility rests with the practitioners and clinics.
9. Data Retention
Certain records created through the Platform may be subject to mandatory retention periods under applicable law and regulations. Where required, such records are non-deletable by design. Each clinic is solely responsible for the accuracy and completeness of records entered into the Platform and for meeting its own regulatory obligations.
10. Privacy
The collection, use, storage, and disclosure of personal information (including health information) is governed by our Privacy Policy, which complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).
11. Data Security
We implement industry-standard technical and organisational security measures to protect your data. No system is completely secure. We will notify affected individuals and the Office of the Australian Information Commissioner (OAIC) in the event of a notifiable data breach in accordance with the Privacy Act 1988 (Cth).
12. Account Suspension and Termination
We may suspend or restrict your access to the Platform, with or without notice, if we reasonably believe you have breached these Terms, if your Subscription lapses, if required by law, or if your account poses a security risk.
You may close your account at any time by contacting us at support@esterrx.com. Closure does not entitle you to a refund of fees already paid.
Upon termination, your access will cease. We will retain data as necessary to comply with our legal obligations and as described in our Privacy Policy.
13. Limitation of Liability
To the maximum extent permitted by law, the Operator's total aggregate liability arising out of or in connection with these Terms or the Platform shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, clinical outcomes, or loss arising from reliance on documents generated through the Platform.
Nothing in these Terms excludes, restricts, or modifies any right or guarantee that cannot be excluded under the Australian Consumer Law (Competition and Consumer Act 2010, Schedule 2). Where the Australian Consumer Law applies, our liability is limited (to the extent permitted by law) to resupplying the Services or payment of the cost of having the Services resupplied.
14. Indemnification
You agree to indemnify, defend, and hold harmless the Operator and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your use of the Platform in breach of these Terms, your violation of any applicable law, any clinical decision made using the Platform, any content or data you submit, or any infringement by you of third-party rights.
15. Dispute Resolution
These Terms are governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland.
Before commencing formal proceedings, you agree to contact us at support@esterrx.com and attempt to resolve any dispute in good faith within 30 days.
Nothing in these Terms prevents you from lodging a complaint with the OAIC or other relevant regulatory authority.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email and/or by notice on the Platform. Your continued use after the changes take effect constitutes acceptance. If you do not agree, you must stop using the Platform and close your account.
17. General
These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and us regarding your use of the Platform. If any provision is held invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision does not waive our right to enforce it later. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign ours freely.
